Definitions

- "Client", "You", and "Your" refers to you, the person or organization accessing this website and accepting the Company's terms and conditions.

- "Party", "Parties", or "Us" refers to both the Client and ourselves, or either the Client or ourselves.
- "Services" refers to the managed security services (MSSP), IT management, cybersecurity, security auditing, domain registration, web hosting, web development, email services, email security, tech support, system administration, software development, automation, VPN, password management, and marketing services provided by CyberITEX.
- "Partners" refers to third-party service providers with whom CyberITEX has official partnership or reseller relationships, including but not limited to Microsoft, Google, Lenovo, Adobe, Bitwarden, WIX, PAX8, AWS, IONOS, Hetzner, SupportWave, Qualys, and Check Point.
- "Payment Processors" refers to third-party payment processing services used by CyberITEX, including Stripe and PayPal/Braintree.
All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration or any other means, for the express purpose of meeting the Client's needs in respect of the provision of the Company's stated services.
License
Unless otherwise stated, CyberITEX and/or its licensors own the intellectual property rights for all material on CyberITEX's website and services. All intellectual property rights are reserved.
You may view and/or print pages from our website for your own personal use subject to restrictions set in these terms and conditions.
You must not:
- Republish material from this website
- Sell, rent, or sub-license material from this website
- Reproduce, duplicate, or copy material from this website
- Redistribute content from CyberITEX (unless content is specifically made for redistribution)
User Accounts and Authentication
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
We offer authentication via email/password as well as Single Sign-On (SSO) through Google and Microsoft. By using these SSO options, you authorize us to access and use certain information from your Google or Microsoft account to facilitate your authentication. Your use of these third-party authentication services is also subject to their respective terms and privacy policies.
As a cybersecurity service provider, we strongly recommend enabling multi-factor authentication on your account for enhanced security. You acknowledge that failure to implement recommended security measures may impact your security posture and potentially affect service outcomes.
Service Availability and Modifications
We reserve the right to withdraw or amend our Service, and any service or material we provide via our Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of our Service is unavailable at any time or for any period.
We may update the content on our Service from time to time, but its content is not necessarily complete or up-to-date. Any of the material on our Service may be out of date at any given time, and we are under no obligation to update such material.
Payment Terms and Processing
Payment for our services is due according to the schedule specified in your service agreement. We accept payment via credit card, wire transfer, and other forms of payment as specified in your agreement.
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
CyberITEX uses third-party payment processors (currently Stripe and PayPal/Braintree) to process payments. Your payment information is not stored by CyberITEX but is instead collected and processed directly by these third-party payment processors. Your use of these payment services is subject to their respective terms of service and privacy policies. We recommend reviewing these documents to understand how your payment information is handled.
Late payments may be subject to late fees and/or termination of service as outlined in your service agreement. For services that involve ongoing security monitoring or management, service interruption due to non-payment may result in security vulnerabilities that we cannot be held responsible for during the period of service suspension.
Limitation of Liability
In no event shall CyberITEX, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use or alteration of your transmissions or content
- Security breaches or cyber attacks that occur despite our reasonable security measures
- Failures or disruptions in third-party services that we resell or integrate with
- Your failure to implement security recommendations or best practices provided by CyberITEX
While we implement industry-standard security measures and best practices as part of our managed security services, we cannot guarantee complete protection against all potential security threats. You acknowledge that cybersecurity is an evolving field and that no security measure is 100% effective against all possible attacks.
Whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
CyberITEX, its subsidiaries, affiliates, and its licensors do not warrant that:
- The Service will function uninterrupted, secure or available at any particular time or location
- Any errors or defects will be corrected
- The Service is free of viruses or other harmful components
- The results of using the Service will meet your requirements
MSSP and Security Services
As a Managed Security Service Provider (MSSP), CyberITEX provides ongoing cybersecurity monitoring, management, and response services. By engaging our MSSP services, you agree to:
- Provide necessary access to systems and information required for us to deliver our services
- Respond promptly to security alerts and recommendations
- Maintain any systems or software under your control in accordance with our security recommendations
- Notify us promptly of any suspected security incidents or breaches
- Designate appropriate personnel to work with our security team
We will make commercially reasonable efforts to protect your systems and data from security threats. However, due to the rapidly evolving nature of cybersecurity threats, we cannot guarantee that our services will prevent all security incidents. Our services are provided on a "best efforts" basis using industry-standard tools and practices.
For security auditing services, you grant us permission to conduct the agreed-upon security testing activities, including but not limited to vulnerability scanning, penetration testing, and security assessments. You represent that you have the authority to authorize such testing on the systems and networks included in the scope of work.
Confidentiality and Data Protection
Protecting our clients' privacy is a top priority. We treat all client information as confidential and will not share any non-public information about our clients unless:
- Required by law or legal process
- Necessary to protect our rights or property
- Necessary to prevent harm where there is a good faith belief that such disclosure is required
- You have provided explicit consent
Any private information or access shared with us in the course of providing our services is kept strictly confidential unless it is already public. We implement appropriate technical and organizational measures to protect your information.
For clients utilizing our system administration, security monitoring, or managed IT services, we may have access to your systems and data. We will access such systems and data only as necessary to provide the contracted services and will maintain appropriate safeguards to protect this access.
Third-Party Services and Partnerships
CyberITEX is an official partner or reseller for various service providers including Microsoft, Google, Lenovo, Adobe, Bitwarden, WIX, PAX8, AWS, IONOS, Hetzner, SupportWave, Qualys, and Check Point. When you purchase or use services from these providers through CyberITEX:
- Your use of these services is also subject to the respective provider's terms of service
- We may share necessary account information with these providers to establish and maintain your services
- Support for these services may be provided directly by the original provider or by CyberITEX, depending on the service arrangement
- Service availability, features, and functionality are determined by the original provider and may change without notice
While we make every effort to select reputable and reliable service providers, we cannot guarantee the performance, security, or availability of third-party services. Your rights and remedies regarding third-party services may be governed by the respective provider's terms.
Governing Law
These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
